SUMMARY

The study investigated the effect of Board attributes on cash holding in Nigeria companies. The studs adapted and modified the model of Azira et al (2013) by removing CEO duality and introducing board effectiveness (diligence) and audit committee presence, as well as two firm- specific characteristics as controls variables. The study used descriptive analysis, correlation analysis and pooled OLS multiple regression technique as the underlying statistical tests. A descriptive analysis of the data was conducted to obtain the sample characteristics. The multiple regression analysis was performed to test the relationship between the independent variables and cash holdings. Some conventional diagnostic tests such as normality, multieollinearity, heteroskedastieity, autoeorrelation and model specification test were also conducted to address some basic assumptions underlying regression analysis. It was found that there is no significant relationship between board size (BSZE) and cash holding in Nigerian companies. Board Gender diversitys have a significant relationship to the level of cash holdings in public companies in Nigeria, what this portends is that firms with large Board Gender diversity holds more cash than those smaller audit committee presence. There is positive and statistically significant relationship between board meetings (effectiveness) and cash holding. No significant relationship exists between board independence and corporate cash holdings were upheld. On the control variables of leverage and age both exerts inverse significant relationships with the level of cash holdings. The study was anchored on pecking order theory.
