ABSTRACT

This study evaluated the current trend in corporate governance and its effect on performance of Nigeria listed companies on the Nigerian Exchange Group from 2019 to 2023, where 29 companies were selected. The study was carried out by extracting data from the annual reports for the period on which the descriptive statistics test, correlation analysis and the panel regression analysis were used. Corporate governance was represented by board diversity (BDD), board size (BDSZ), board independence (BIND) and board composition (BDCOM) and four research hypotheses were formulated from each of the variables. The result of the findings revealed that board diversity (BDD) have a positive and insignificant relationship between organizational performance of listed companies in Nigeria and board composition (BDCOM),board size (BDSZ), and board independence (BIND) has a positive and significant relationship with organizational performance, while the study recommendations emphasize the importance of balanced board composition, considering both executive and non-executive directors, tailored to the company's operational needs. The study also recommends promoting diversity on boards, encompassing gender, ethnicity, age, and professional backgrounds, to enhance decision-making and stakeholder representation. Additionally, there's a call for regulators to review guidelines for board independence, ensuring effective oversight in the Nigerian business context. Lastly, the suggestions highlight the necessity for ongoing evaluation, education, and adaptation in corporate governance practices to meet evolving regulatory requirements and stakeholder expectations, fostering transparency and long-term performance.
